Senior Counsel

What You'll Do

Real Estate & Land Acquisition

• Draft and negotiate land purchase and sale agreements, option agreements, easements, and rights-of-way.
• Coordinate with outside counsel on title and survey review and resolving title defects.
• Support due diligence processes, including zoning, annexation, and entitlements across multiple jurisdictions.

Energy & Utility Matters

• Support negotiations of utility service agreements with investor-owned utilities, cooperatives, and municipal providers.
• Coordinate with outside counsel on regulatory matters relating to power and capacity procurement, including negotiations of power and capacity purchase agreements.

Development & Entitlements

• Coordinate with land use counsel and consultants on zoning, permitting, and entitlement strategies across multiple jurisdictions.
• Review and negotiate development agreements and municipal incentive agreements.

Corporate & Commercial

• Draft and negotiate vendor, consultant, and contractor agreements supporting development operations.
• Assist with corporate governance matters.

What We're Looking For

• J.D. from an accredited law school; active bar membership in good standing.
• 5+ years of Big Law experience in an energy transactional role, with a preference for project finance, M&A, or project development experience.
• Proven ability to manage multiple high-priority deals simultaneously with minimal supervision.
• Strong drafting and negotiation skills.
